“Panoramica”, “we”, “us”, “our” means Panoramica Solutions Ltd.
“Client”, “you”, “your” means the person or entity purchasing Services from Panoramica.
“Agreement” means the contract comprising these Terms and any Order.
“Services” means the consulting, advisory, and operational support services described in an Order.
These Terms apply to all Services provided by Panoramica to the Client. An Agreement is formed when the Client signs an Order or Panoramica confirms acceptance of an order.
Panoramica provides strategic, operational, and systems‑level services. We do not act as a broker, dealer, or placement agent, nor do we provide legal or tax advice. We do not guarantee specific commercial outcomes unless expressly stated in an Order.
The Client shall appoint a primary contact, provide timely access to systems/data, and ensure information provided is accurate. The Client remains responsible for its own business decisions and compliance with applicable laws.
Fees are set out in the Order. Unless stated otherwise, invoices are payable within the agreed timeframe. Fees are exclusive of VAT and applicable taxes.
The Client acts as “controller” and Panoramica as “processor” for personal data processed in providing Services. The Client ensures it has a lawful basis for processing such data.
Each Party shall keep confidential all non‑public information disclosed by the other Party. This obligation survives termination for three (3) years.
Each Party retains its pre‑existing IP. Panoramica retains ownership of its methodologies and templates. Upon payment, the Client receives a licence to use Deliverables for internal business purposes.
Panoramica warrants it will perform Services with reasonable skill and care. All other warranties are excluded to the fullest extent permitted by law.
Panoramica’s liability is limited to the Fees actually paid by the Client in the 12 months preceding the claim. We are not liable for indirect or consequential damages.
The Agreement continues until Orders are completed or terminated. Either Party may terminate for convenience with notice (as per Order) or immediately for material breach.
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
